Alanzo I is based on the architecture of a traditional Chinese Junk and a complete wooden ship, being a reproduction of a historic and pirate Chinese junk. The estimated project cost is Euro 10.3 million that includes the ship building cost of Alanzo I, and one year administration and operation cost. The Promoters have commenced the project and have already invested Euro 1.3 million in the design and building of the said Chinese Junk.
The Promoters have conceptualised a business idea of business around heritage replica vessels. The present business is modeled on Alanzo I contemplated to sail as luxury ship. Alanzo I is based on the architecture of a traditional Chinese Junk and a complete wooden ship, being a reproduction of a historic and pirate Chinese junk (hereinafter referred to as the "Chinese Junk"). It is currently under construction at Mumbai, India.
The new investor to participate in equity to the said project and invest Euro 9 million being the estimated project cost to fund the project. The promoters represent that the title of the said Chinese junk are with the promoters.
Mr Alanzo Langeckar has the right, title and interest in the said Chinese Junk, which is presently under construction.
The Investor to participate in the equity of the said project by its contribution of Euro 9 million and agrees thus to be entitled to an equity of 58 % in the project with rights to management participation.
A company to be setup at British Virgin Island (BVI); Panama or as may be permissible under the laws. After incorporation of the said Company and with effect from the first remittance installment of Euro 2500000 from the investor, as per remittance schedule, Mr. Alanzo Langecker will simultaneously transfer the said Chinese Junk to the said Company.
The Parties will set out their business and commercial understanding / relationship that would form the basis for the finalisation of definitive agreement(s), which would set out the contractual rights and obligations of the Parties.
